McNees Wallace & Nurick’s Mergers & Acquisitions team, led by attorneys Joshua D. Cohen and Frank J. Lavery, III, advised Koenig Holding Co, Inc., in the purchase of Chesapeake Crab Connection, Inc. Following the transaction, the new owners will keep the same name, Chesapeake Crab Connection, Inc.
For more than 30 years, Chesapeake Crab Connection has supplied freshly caught blue crabs and other seafood to customers across southeastern Pennsylvania and northern Maryland. With locations in Lancaster and Oxford, Pa., the company offers nationwide shipping of crabs, shellfish, soups and salads nationwide.
As buy-side counsel, Cohen and Lavery represented the new owners’ interests in the transaction, structured the transaction, negotiated the terms of the purchase, created the buyer’s new entity and governance documents, and led the closing process.
